Welcome to WrenchDesk! These Terms of Service ("Terms") govern your use of the WrenchDesk platform, products, and services (collectively, the "Service") provided by Excel Technology Holdings, LLC. ("WrenchDesk," "we," "us," or "our").
By accessing or using our Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.
1. Eligibility
You must be at least 18 years old and legally capable of entering into a binding contract to use the Service. By using WrenchDesk, you represent and warrant that you meet these requirements.
2. Services Provided
WrenchDesk provides AI-powered job management software tailored to body shop businesses. Key features may include:
- 24/7 phone answering through conversational AI
- Smart customer scheduling and job assignment
- Estimates, invoicing, and tax management tools
- Automated customer communication (text/email)
- Calendar and scheduling management
- Google reviews management
- Multilingual voice support
Features may evolve over time. We reserve the right to modify, suspend, or discontinue any aspect of the Service without notice.
3. Account Registration
You may be required to register for an account to use certain features. You are responsible for maintaining the confidentiality of your login credentials and for any activity that occurs under your account.
4. Acceptable Use
You agree not to:
- Use the Service for any illegal, fraudulent, or unauthorized purpose
- Interfere with or disrupt the integrity, performance, or security of the Service
- Attempt to gain unauthorized access to any system or network connected to the Service
Violation of this section may result in immediate suspension or termination of your access.
5. Payment and Subscription Terms
Some features of the Service require a paid subscription. By subscribing, you agree to:
- Pay all applicable fees as stated at the time of purchase
- Maintain valid and up-to-date payment information
- Permit automatic recurring billing unless canceled before the next billing cycle
All fees are non-refundable except where required by law.
6. Consent to Receive Text Messages (SMS)
By using the Service, you expressly consent to receive text messages (SMS) from WrenchDesk, including but not limited to:
- Service notifications and alerts
- Appointment reminders and confirmations
- Job updates and scheduling information
- Account-related communications
- Customer communication facilitated through the platform
Message frequency varies based on your use of the Service. Message and data rates may apply depending on your mobile carrier and plan. You may opt out of non-essential text messages at any time by replying "STOP" to any message or by contacting us at support@wrenchdesk.com. Reply "HELP" for assistance. However, opting out of certain messages may limit your ability to use key features of the Service.
By providing your phone number, you confirm that you are the owner or authorized user of the device associated with that number and that you have the authority to consent to receiving text messages.
SMS Opt-In Disclosure
Notwithstanding any other provision in these Terms, no mobile information will be shared with third parties or affiliates for marketing or promotional purposes. All the above categories exclude text messaging originator opt-in data and consent; this information will not be shared with any third parties.
7. Data and Privacy
Use of the Service is subject to our Privacy Policy, which outlines how we collect, use, and store your information.
You retain ownership of your customer and business data. We do not sell your data. We may, however, use aggregated and anonymized data to improve the Service.
8. AI Functionality and Limitations
WrenchDesk incorporates AI technologies to simulate human-like conversations, schedule appointments, and respond to inquiries. While we strive for accuracy and reliability, you acknowledge that:
- AI responses may occasionally be inaccurate or incomplete
- You are responsible for reviewing and managing any actions or communications handled by the AI
- We make no warranties regarding the accuracy or reliability of AI-generated content
9. Liability for Customer Communications and Advice
You acknowledge and agree that you assume full responsibility and liability for all communications, advice, recommendations, estimates, and information provided to your customers through the Service, including but not limited to:
- AI-generated responses and recommendations made on your behalf
- Repair estimates, timelines, and pricing information
- Technical advice or guidance related to vehicle repairs
- Any other information communicated to customers through the platform
All AI-powered communications are delivered as your representative and under your business name. You are solely responsible for ensuring the accuracy, appropriateness, and legality of such communications. WrenchDesk provides the technology platform but does not provide professional automotive advice and is not liable for any decisions made by your customers based on information delivered through the Service.
You agree to indemnify and hold harmless WrenchDesk from any claims, damages, losses, or expenses (including legal fees) arising from advice, recommendations, or communications provided to your customers through the platform.
10. Service Availability
We aim to provide high availability but do not guarantee uninterrupted access. Scheduled maintenance, software updates, or unforeseen outages may affect availability. We are not liable for any disruption of service or loss of data.
11. Intellectual Property
All content, features, software, and technology associated with the Service are the exclusive property of WrenchDesk or its licensors. You may not copy, distribute, modify, or create derivative works without prior written consent.
12. Termination
You may cancel your account at any time. We reserve the right to suspend or terminate your access if:
- You breach these Terms
- We reasonably suspect fraudulent or abusive behavior
- We discontinue the Service
Upon termination, we may delete your data unless retention is required by law or for legitimate business purposes.
13. Disclaimers and Limitation of Liability
The Service is provided "as is" and "as available" without warranties of any kind, express or implied. To the fullest extent permitted by law:
- We disclaim all warranties, including merchantability, fitness for a particular purpose, and non-infringement
- We are not liable for any indirect, incidental, special, or consequential damages
- Our total liability for any claims arising out of or related to these Terms shall not exceed the amount you paid to WrenchDesk in the twelve (12) months preceding the claim
14. Modifications to Terms
We may update these Terms from time to time. If we make material changes, we will notify you via email or within the Service. Continued use of the Service after changes become effective constitutes your acceptance.
15. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any disputes shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts.
